1. Acceptance of Terms

These Terms of Service ("Terms") govern your use of the services provided by Fraction, operated by Geometry Node LLC ("Fraction," "we," "us," or "our").

By registering for or using the Fraction platform ("Services"), you agree to be bound by these Terms. If you do not agree, you may not use the Services.

2. Payment Processing and Infrastructure Partners

Fraction provides the software, financial tools, and user experience to help you manage your business. To securely process your transactions, we partner with Finix Payments, Inc. ("Finix"), which serves as our underlying payment infrastructure provider.

Because Finix acts as the regulated payment processor, they are responsible for the secure routing of transactions, merchant underwriting, PCI-compliant card data security, and fund settlements. This partnership ensures your payments are handled with bank-grade security and compliance.

By using Fraction's platform to accept payments, you acknowledge this infrastructure partnership and agree to be bound by the Finix Terms of Service (https://finix.com/legal/terms) and the Finix Privacy Policy (https://finix.com/legal/privacy).

Fraction remains your primary software platform, while Finix strictly handles the backend payment processing and regulatory requirements.

3. Description of Services

Fraction provides a software platform that allows businesses to:

Accept payments (card, ACH, and related methods)

Manage transaction activity and reporting

Access payout and settlement tools

Utilize optional financial organization features

Fraction facilitates access to payment services but does not directly process payments.

4. Eligibility

To use the Services, you must:

Be a legally operating business or individual in the United States

Provide accurate and complete information

Not be listed on any sanctions or restricted party lists

5. Sub-Merchant Responsibilities

You agree to:

Provide accurate descriptions of your products and services

Comply with all applicable laws, regulations, and payment network rules

Maintain appropriate data security practices within your environment

Maintain the confidentiality of your account credentials

6. Right to Monitor

Fraction and Finix may monitor transactions, account activity, and usage for compliance, fraud prevention, and risk management purposes.

You agree to cooperate with any requests for information.

7. Prohibited Activities

You may not use the Services for:

Fraud, money laundering, or deceptive practices

Sale of prohibited or regulated goods without approval

Activities that violate Visa, Mastercard, or banking rules

Any business activity deemed high-risk or non-compliant

We reserve the right to refuse service or terminate accounts as needed.

8. Payment Processing, Fees, Reserves, and Reversals

Processing: Transactions are routed through Finix for authorization and settlement.

Payout Timing: Fund availability is subject to risk review, banking timelines, and compliance requirements.

Delays and Holds: Fraction and/or Finix may delay or hold funds for risk or compliance reasons.

Reserves: A reserve may be established to cover potential chargebacks or liabilities.

Reversals: Transactions may be reversed or refunded where required by payment networks or law.

Fees: You agree to pay all applicable fees associated with your account and transactions. Fees may be updated with notice.

9. Chargebacks and Disputes

If a transaction is disputed:

The disputed amount and applicable fees may be deducted from your account

You are responsible for responding to disputes

Excessive chargebacks may result in account restrictions or termination

10. Intellectual Property

All platform software, branding, and content are owned by Fraction.

You retain ownership of your business data but grant us a license to use it to provide the Services.

11. No Guarantee of Payments

Transaction approval, settlement timing, and fund availability are not guaranteed and are subject to Finix, banking partners, and network rules.

12. Limitation of Liability

To the maximum extent permitted by law, Fraction and Geometry Node LLC are not liable for indirect or consequential damages.

Total liability is limited to fees paid in the three (3) months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless:

Geometry Node LLC

Finix Payments, Inc.

from any claims, damages, or losses arising from:

Your use of the Services

Your violation of these Terms or Finix's terms

Your business operations or transactions

14. Termination and Suspension

By You: You may terminate your account at any time.

By Us or Finix: Accounts may be suspended or terminated immediately for:

Suspected fraud

Policy violations

Excessive chargebacks

Risk or compliance concerns

Outstanding obligations survive termination.

15. Data Handling

Your data is handled in accordance with the Fraction Privacy Policy.

You acknowledge that necessary data will be shared with Finix and related partners to provide payment services.

16. Modifications to Terms

We may update these Terms periodically. Continued use of the Services constitutes acceptance of any updates.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Texas.

Disputes will be resolved through binding arbitration in Collin County, Texas, on an individual basis.
